Terms of Service

These terms are an agreement between you and FL1 Digital Limited, registered in England & Wales (company number 14742450), registered office: The Pinnacle, Midsummer Boulevard, Milton Keynes, MK9 1BP, trading as Sonar Analytics ("we", "us"), for using Sonar, including our website, app, WordPress plugin and Shopify app (the "Service"). By creating an account or using the Service, you agree to them. If you're using Sonar for an organisation, you confirm you can accept these terms on its behalf.

1. Your account

• Keep your sign-in details secure. You're responsible for activity on your account.
• Give us accurate information, and keep your email address up to date so we can reach you.
• You must be at least 16 and using Sonar for business or professional purposes.

2. Plans, trials and payment

• Starter is free, with the limits shown on our pricing page.
• New accounts get a 14-day Pro trial without a card. When it ends, you move to Starter unless you choose a paid plan.
• Paid plans (Pro and Agency) are billed in advance, monthly or annually, through Stripe, and renew automatically until cancelled. Prices exclude VAT and other taxes, which are added where applicable.
• You can change or cancel your plan at any time from Manage billing. Upgrades take effect immediately (prorated). Cancellations take effect at the end of the current billing period, and you keep access until then. Except where the law says otherwise, payments aren't refundable for partial periods.
• We may change prices with at least 30 days' notice. Changes apply from your next renewal.
• If a payment fails, we'll ask you to update your card. We may move the account to Starter if it isn't resolved.

3. Using Sonar responsibly

You agree that you will:

• only add Sonar to websites you own or are authorised to manage;
• have a privacy notice on your websites that explains your use of analytics, and get visitors' consent where the law requires it;
• not use Sonar to collect special category data (for example health information), payment card details or passwords, or to track people in a way that breaks the law;
• not misuse the Service: no attempts to break or overload it, gain unauthorised access, reverse engineer it, resell it outside the Agency plan's client features, or use it for spam or unlawful activity.

We may suspend accounts that break these rules or put the Service or other users at risk. Where reasonable, we'll tell you first.

4. Agencies and client access

On the Agency plan, you can create client workspaces, apply your own branding and invite your clients. You're responsible for the clients and people you invite, for what you show them, and for having the right to manage their websites' analytics.

5. Your data

• You own your data: the information about your websites and their visitors that Sonar collects for you ("Customer Data").

• You give us permission to host, process and display Customer Data only to provide and improve the Service for you, and as described in our Privacy Policy.

• For Customer Data that is personal data, you are the controller and we are your processor. We will:

  • process it only on your documented instructions (these terms and your use of the Service);
  • keep it confidential and secure;
  • use only the sub-processors listed in our Privacy Policy, and tell you before adding new ones;
  • help you respond to people exercising their rights, and with security and breach obligations;
  • delete it when your account closes, unless the law requires us to keep it.

• You can export or delete your data while your account is open, or ask us to.

6. AI features

AI summaries and answers are generated automatically from your analytics and may occasionally be incomplete or wrong. Check important figures in your dashboard before relying on them.

7. Our intellectual property

We own the Service, including its software, design and content. We give you a limited, non-transferable right to use it while your account is active. If you send us feedback, we may use it without owing you anything.

8. Availability and changes

We work to keep Sonar available and reliable, but we don't guarantee uninterrupted service, and maintenance or factors outside our control may cause downtime. We may improve, change or remove features. If we remove a major paid feature, we'll give you reasonable notice.

9. Ending the agreement

You can close your account at any time. We may end these terms or suspend the Service if you seriously or repeatedly break them, or if we stop offering the Service (in which case we'll give at least 30 days' notice and refund any prepaid period we don't provide).

10. Disclaimers

The Service is provided "as is". To the extent the law allows, we exclude all implied warranties, including that the Service will meet your particular needs or be error-free.

11. Liability

Nothing in these terms limits liability that can't legally be limited, such as for death or personal injury caused by negligence, or for fraud.

Otherwise, to the extent the law allows:

• neither of us is liable for indirect or consequential losses, or for lost profits, revenue or data; and
• our total liability under these terms in any 12 months is limited to the amount you paid us in those 12 months (or £100 if you're on a free plan).

12. Changes to these terms

We may update these terms. If changes are significant, we'll tell you by email or in the app at least 30 days before they apply. Continuing to use Sonar after that means you accept them.

13. General

These terms, with our Privacy Policy, are the whole agreement between us about the Service. If part of them is unenforceable, the rest still applies. You can't transfer your account without our agreement. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
